Terms and Conditions: All quotes are for immediate acceptance, with wire or a cashier’s check due with the order. Acceptance shall not be
declared to have occurred without a rockfish Machinery getting Po from his seller Signed and Invoice from the buyer Signed. All quotes are subject to withdrawal and prior sale. Price excludes all applicable taxes, dismantling, rigging, loading and shipping, all of which will be Buyer’s responsibility. Risk of loss and title pass FOB on floor at Delivery Site of Equipment. Rockfish Machinery is acting as the agent on behalf of the Seller of the Equipment. Because the Equipment is pre-owned, and Rockfish Machinery has no direct knowledge regarding prior use, maintenance, abuse or misuse, the Equipment is to be sold as is, where is, with all faults, and with no warranties of merchantability or fitness for a particular purpose. Equipment descriptions are intended only as a guide and their accuracy is not guaranteed. It is the Buyer’s responsibility to verify the fitness of the Equipment, Specifications for Buyer’s intended use. Rockfish Machinery recommends that buyer inspects the machinery to verify condition and all specification. Buyer and/or users shall be responsible to provide proper safety devices, equipment and training, and to comply with all governmental or industry safety standards, including OSHA standards. Buyer shall defend and indemnify Seller and Rockfish Machinery, from any claims to include reasonable attorney’s fees. The proposal transaction shall be governed by the terms and conditions contained in this Quote, the Purchase Order to Rockfish’s seller and the Invoice. Any claims against Seller and Rockfish Machinery shall be heard in Virginia courts without a jury and be decided under Virginia law.
Closing of Sale: This sale shall be deemed to be negotiated and settled when Buyer has executed the Seller’s Invoice, when Rockfish has
received the Purchase Order from seller and acknowledged all in writing, Seller has received the Purchase Price contained herein, along with all applicable Federal, State and local sales tax which shall be paid by Buyer, and Seller has tendered the Equipment to Buyer at the Delivery Site.
